1. Operating entity and contact
Passenga is operated by the Passenga team (operating entity to be confirmed by counsel before public launch). For questions about these terms, contact support through the app. This section will be replaced with the registered company name, registration number, principal office address and legal contact once finalised by lawyers.
2. Acceptance of terms
By creating an account or using Passenga you agree to these Terms of Service, the Privacy Policy and the Refund Policy. If you use Passenga on behalf of a business, you confirm that you are authorised to bind that business.
3. Accounts and eligibility
You must be at least 18 years old and legally able to enter contracts. Passenga currently serves users in Sri Lanka and selected Global markets. You are responsible for keeping your credentials safe, for all activity under your account, and for maintaining accurate profile and KYC information. Staff and administrator accounts require two-factor authentication.
4. Platform-as-agent — Passenga is not a party to the plan
Passenga acts as a limited technology and payments agent that connects Hosts, Backers and Providers. The underlying trip, event, purchase or hire is a contract between those participants. Passenga is not the merchant of record for the underlying experience, does not organise it, and is not liable for its performance. Where local law requires, Passenga operates any escrow function strictly as an agent of the participants until release conditions are met.
5. Pools, contributions and escrow
Every contribution is held by Passenga in a segregated escrow wallet on your behalf and released only per the rules coded into the platform — for example when a pool reaches its goal, is marked completed by the host and the dispute window closes, or is cancelled with staff approval. Contributions are recorded in an append-only ledger. Passenga does not commingle escrowed funds with operating funds.
6. Fees
Passenga charges a platform success fee on successful pools (default 5%, configurable in platform settings). Payment processing fees, taxes and any availability fees are shown at checkout. Provider payouts and host deposits follow the amounts and schedules displayed in the pool. Fee percentages, minimums and pass-through behaviour are governed by the current values in the platform settings and payment gateway configuration.
7. Currency and USD processing
Pools may be denominated in LKR or USD. When a pool is denominated in USD but paid from an LKR card (or vice versa), the payment gateway performs the conversion at the gateway's reference rate at authorisation time — Passenga does not set the FX rate and does not guarantee parity with any published mid-market rate. LKR equivalents shown next to USD amounts on the site are indicative only and use a reference rate for display; the amount charged to your card is the gateway's rate at the time of payment.
8. Host and provider obligations
Hosts must describe pools accurately, keep plans up to date and act in good faith toward backers. Verified Providers must fulfil confirmed bookings on the terms agreed. Hosts and Providers may be required to complete KYC and, for providers, business verification. False or misleading information may result in pool rejection, funds being returned to backers, or account suspension.
9. Cancellations and refunds
Refund outcomes match the behaviour coded into the platform: pools that miss their goal or are cancelled with staff approval refund every contribution to the backer's wallet; backers may exit before funding subject to the exit-lock rules; pools that fail after provider confirmation may receive a partial refund reflecting non-recoverable costs. Full detail is set out in the Refund Policy, which forms part of these Terms.
10. Disputes
Backers may raise a dispute within the dispute window that opens when a host marks a pool completed (default 72 hours, see platform settings). Staff review the dispute using the ledger, chat history and any supporting evidence. Outcomes may include partial or full refunds, holds on payouts, or a decision that the pool was fulfilled as described.
11. Prohibited use
You may not use Passenga for: illegal activity; weapons or ammunition; adult or explicit content; hate speech or harassment; financial scams or MLM; recreational drugs; misleading medical claims; or content that infringes copyright. This list mirrors the prohibited_content list in platform settings and may be updated. Pools violating this list will be rejected or removed and repeated violations will result in account termination.
12. Content and licence
You retain ownership of the content you post. You grant Passenga a non-exclusive, worldwide licence to host, display and distribute that content solely to operate the platform. Do not upload content you don't have rights to share.
13. Suspension and termination
Passenga may suspend or terminate accounts that violate these Terms, that pose risk to other users, or where required by law. Escrowed funds attributable to a suspended user will be resolved per the ledger and refund rules — suspension does not forfeit backer funds.
14. Limitation of liability
To the maximum extent permitted by law, Passenga's aggregate liability for any claim arising out of the platform is limited to the fees Passenga has actually received from you in the twelve months preceding the claim. Passenga is not liable for the acts of hosts, providers or third-party payment gateways. This clause will be reviewed by counsel before launch.
15. Governing law and changes
These Terms are governed by the laws of Sri Lanka (subject to counsel review for global users). We may update these Terms; material changes will be notified in-app or by email and take effect on the date shown at the top of this page.
